Positive Academy – English Learning Sales Terms

These Terms and Conditions apply to consumers in relation to English language placement tests, English language advisory services, and English language courses that we provide either in person (face-to-face), virtually (online), or through a blended format combining both methods.

These Terms and Conditions are available for download below.

By participating in an English language learning course (including self-access online courses or blended learning courses), taking part in English language placement tests, or using English language advisory services, including any related printed or electronic materials where applicable (collectively referred to as the “English Language Products”), whether delivered in person, online, or in a blended format, and as made available through our website portal or other related marketing materials, you agree to be bound by these Terms.

Please read these Sales Terms carefully before booking or purchasing any English Language Product, whether online or in person.

Please note that before booking and/or paying any fees for the English Language Products offered, your subscription to our services constitutes confirmation of your agreement to comply with these Sales Terms. If you do not agree to these Sales Terms, you will not be able to attend or access any of the English Language Products we provide.

Information About the Contract Between You and Positive Academy

Unless otherwise stated in any specific terms and conditions, you are entering into a legally binding contract with Positive Academy for Training, an institution established in Egypt and registered under No. (1966360), located at 44 Al-Ahram Street, Al-Korba, Heliopolis, Cairo, Egypt, operating through a local branch and affiliated offices, as well as through locally established affiliated entities.

Any special or additional terms and conditions, where applicable, will set out further information and explain how they apply to you.

These Sales Terms may be translated into other languages for guidance purposes only, unless otherwise stated in the special terms. In the event of any conflict between the English version and a translated version, the Arabic version shall prevail and be legally binding.

The contract entered into under these Sales Terms is personal to you. You may not assign, transfer, or otherwise dispose of any rights or obligations under it, whether in whole or in part, without our prior written consent.

Booking and Payment of Fees

By submitting a registration request, you confirm that:

a) You are making an offer to attend or access an English Language Product subject to these Sales Terms.
b) You are at least 18 years of age.

Registration requests may not be submitted by individuals under the age of 18. Applicants under 18 must have a parent or legal guardian submit the registration request on their behalf and confirm acceptance of these Sales Terms.

If you submit your registration request:

a) Via the Online Portal

Upon receipt of your registration, you will receive an acknowledgment confirming that we have received your information, along with provisional confirmation of the English Language Product you registered for, subject to receipt of payment (the “Acknowledgment of Receipt”).

Once payment is received, a receipt will be sent to you via a pop-up message, email, or another form of electronic communication that you may print (the “Booking Confirmation”). The Booking Confirmation will include a copy of these Sales Terms.

For the avoidance of doubt, if you book online, the contract relating to the English Language Product becomes legally binding when the Booking Confirmation is sent to you by pop-up message, email, or other electronic notification.

The Booking Confirmation constitutes our acceptance of your registration and creates a legally binding contract between you and us based on these Sales Terms (the “Contract”).

Unless the Contract is canceled in accordance with these Sales Terms, it shall terminate automatically upon full delivery of the relevant English Language Product, at which point the obligations under these Sales Terms shall cease, except for restrictions relating to the use of study materials, which shall remain in force indefinitely.

No place will be reserved for you until a Booking Confirmation has been issued. Course details will be provided either within the Booking Confirmation or via a separate email or electronic notification.

Payment Methods

If payment is made by bank transfer, you are responsible for any additional charges imposed by your bank. Confirmation of the transfer to our bank account will be considered confirmation of booking.

You may pay using one of the following methods:

  3. Bank Cheque or Bank Transfer to Account No.: 4082389964998** – Commercial International Bank (CIB)**

  4. Cash payment at one of our branches

You will not be entitled to attend or access any English Language Product until all applicable fees have been paid in full. Until full payment is received, we reserve the right to deny access to all or part of the English Language Product without any liability to you.

Cancellation by Positive Academy

  1. We may cancel the Contract by providing you with written notice (via email or other means) for any reason at any time before the start date of the relevant English Language Product, including before your first access to any self-access, blended, or online English Language Product. In such cases, we will refund any fees paid in advance.

  2. We may cancel the Contract at any time, without liability, if:
    a) You fail to pay any amount due in accordance with the payment terms.
    b) You breach these Sales Terms.

Cancellation by the Client

  1. Cancellation within the 14-day cooling-off period.

  2. You may cancel the Contract within 14 days of receiving your Booking Confirmation without giving any reason.

  3. The cancellation period expires 14 days from the day following receipt of the Booking Confirmation.

  4. You may cancel and receive a full refund in the event of non-benefit, supported by exams proving harm, provided full attendance of lectures.

  5. You may repeat the same level up to three times within the same year without additional fees if you fail the level, provided full attendance.

  6. To exercise your right to cancel, you must notify us clearly by email at the specified address.

  7. Sending the cancellation notice before the expiry of the cancellation period is sufficient. Your right to cancel is forfeited upon attending one lecture.

  8. If you cancel within the 14-day period, all payments received will be refunded.

  9. Refunds will be processed without undue delay and no later than 14 days from notification of cancellation.

  10. You may not cancel after accessing or attending the English Language Product, whether in whole or in part. For self-access or blended products, access to the first unit constitutes access to the entire product, whether digitally or in person.

Cancellation After
the 14-Day Period

You do not have an automatic right to cancel after the expiration of the 14-day period. Any cancellation thereafter is subject to our approval. Please contact us to explain your reasons and determine whether cancellation may be accepted.

Diversity and Inclusion

We are committed to providing equal opportunities for all individuals.

If you have a disability or special needs, we will make reasonable adjustments to ensure you have, as far as reasonably possible, the same access to the English Language Product as any other participant.

Please provide details of any disability or special requirements as early as possible (preferably at least 8 weeks before the course start date).

Your Obligations

You must:

a) Act honestly and with integrity at all times and treat others with courtesy and respect.
b) Prepare reasonably for the English Language Product.
c) Attend or access all sessions and activities forming part of the product (except for medical or agreed reasons) and fully participate in group work where required.
d) Respect the confidentiality of all information obtained during participation.

We reserve the right to refuse or withdraw your attendance or access and require you to leave if your behavior is disruptive, harmful, unsafe, or in breach of site rules, digital service terms, or these Sales Terms.

Security checks may be conducted to ensure the safety of participants and venues. Unauthorized recording, copying, or online distribution of English Language Products is prohibited. Weapons, drugs, or any items threatening safety are strictly prohibited under Egyptian law.

You must comply with public decency standards and protect property from damage, vandalism, or misuse to avoid legal liability.

Intellectual Property

All copyrights and intellectual property rights in all English Language Product materials remain the exclusive property of Positive Academy.

You agree not to copy, reproduce, distribute, disclose, sell, rent, or otherwise make available any materials to third parties.

We grant you a non-exclusive, royalty-free license to use the materials solely for your personal study and research in connection with the English Language Product you registered for, and not for commercial purposes.

Disclaimer of Liability

We accept no responsibility for loss or damage to personal property while attending an English Language Product in person or online. You are responsible for safeguarding personal belongings, including phones and laptops.

Under no circumstances shall we be liable, whether in contract, tort, breach of statutory duty, or otherwise, for loss of profits, business, pure economic loss, or any indirect or consequential losses arising out of or in connection with this Contract.

Please note that by booking and/or paying for any English Language Product, you confirm your agreement to be bound by these Sales Terms. If you do not accept them, you will not be able to attend or access our English Language Products.
